Small Business Planning and Direct Public Offerings

Direct Public Offerings (DPO)

Small companies (annual sales: 0 - $15 million) can raise money by selling equity shares directly to the public. These PERMANENT IN-HOUSE plans bring businesses and investors together at a significant savings for both parties.

Two primary DPO plans available to small companies:

Small Company Offering Registration (SCOR):

Registered with the state and equity shares are sold directly to the public. Can raise up to $1 million over a twelve-month period, and application is renewable.

Regulation A Registration (Reg. A):

Registered with the state and SEC. Shares are sold directly to the public; up to $5 million can be raised within twelve months and application is renewable. Business owners may also sell up to $1.5 million of personal equity shares in this type of offering.
